Once your Investment Business License is granted, it is essential to maintain ongoing compliance with BVI regulations. These obligations include:
Maintaining a minimum of two directors at all times, one of whom must be an individual. Appointing an external auditor and an authorized representative approved by the FSC. Submitting an annual return, annual compliance report, and annual AML/CTF report by March 31st each year. Preparing and submitting audited financial statements by June 30th each year.
Application Process
The company is first incorporated with the Registry of Corporate Affairs. Once all required application documents are submitted, the licensing application under the Securities and Investment Business Act will be filed with the Director of Investment Business at the BVI Financial Services Commission. This will be accompanied by the necessary documents and applicable fees.
Documents Required for Investment Business License Application
To apply for an Investment Business License in the BVI, the following documents are required:
A detailed business plan (draft version acceptable).
Form A, along with supporting documents for each Senior Officer (including a Compliance Officer).
A compliance manual (draft version acceptable).
Confirmation of external auditor’s appointment and completed Form B-1.
Confirmation of legal advisor’s appointment and acceptance.
Letter of Undertaking to Contribute Capital.
Proof of professional indemnity insurance.
Completion of the MLRO form, along with the CV of the Money Laundering Reporting Officer (MLRO).
